Terms of Service

1. Introduction

(a) Reporto ("Reporto", "we", "us", or "our") is a software-as-a-service (SaaS) platform that provides AI-powered report generation tools for Australian allied health professionals.  

(b) These Terms of Service ("Terms") govern your use of our website and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.  

(c) We may update these Terms from time to time. If changes are significant, we will notify users via our website or email. Your continued use of the Services constitutes acceptance of the updated Terms.  

2. Use of Our Services

2.1 Eligibility

(a) You must be at least 18 years old and have the legal capacity to enter into a binding contract to use our Services.  

(b) If you are using the Services on behalf of an organisation, you warrant that you have the authority to bind that organisation to these Terms.  

2.2 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:  

(i) Use our Services in any way that violates applicable laws or regulations;  

(ii) Upload, transmit, or distribute malicious software or content that infringes third-party rights;  

(iii) Reverse-engineer, modify, copy, or distribute any part of the Services without our written consent;  

(iv) Interfere with the security, integrity, or performance of our Services.  

2.3 User Accounts

(a) You may need to create an account to access certain features of the Services. You are responsible for maintaining the confidentiality of your login credentials.  

(b) We reserve the right to suspend or terminate your account if we suspect misuse or violation of these Terms.  

3. Intellectual Property

(a) All content, software, and materials provided through our Services (except for user-generated content) are owned by Reporto or its licensors.  

(b) You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose.  

(c) Any unauthorised reproduction, distribution, modification, or resale of our intellectual property is prohibited.  

4. Data and Privacy

(a) Our collection and use of personal information are governed by our Privacy Policy.  

(b) We will not use report data to train AI models. Your data is processed securely in accordance with applicable laws.

(c) You are responsible for ensuring that any client data entered into our system complies with privacy and consent requirements.  

5. Third-Party Services & Links

(a) Reporto integrates third-party services, including OpenAI’s API for report processing. We have commercial Data Processing Agreements in place to ensure these services will handle your data appropriately. See OpenAI's Data Processing Addendum. However, we do not control these third-party services and are not responsible for their practices.  

(b) Our website may contain links to third-party sites. We do not endorse or assume responsibility for their content, privacy practices, or terms of use.  

6. Service Availability & Limitations

(a) While we strive to provide reliable and secure Services, we do not guarantee uninterrupted or error-free operation.  

(b) We are not liable for any loss, damage, or disruption caused by technical issues, maintenance, cyber incidents, or force majeure events.  

(c) We reserve the right to modify, suspend, or discontinue any part of our Services without notice.  

7. Limitation of Liability

(a) To the fullest extent permitted by Australian law, Reporto is not liable for:  

  1. Any indirect, incidental, or consequential damages arising from the use of our Services;  
  2. Loss of data, business, or revenue due to system failures, errors, or third-party service disruptions;  
  3. Any inaccuracies or errors in reports generated by our AI-powered tools.  

(b) If liability cannot be excluded, our maximum aggregate liability shall not exceed the amount you paid for the Services in the past 12 months.  

8. Indemnity

You agree to indemnify and hold Reporto, its officers, employees, and affiliates harmless from any claims, damages, or legal expenses arising from:

(i) Your use of the Services in violation of these Terms;  

(ii) Any content you upload or submit through the Services;  

(iii) Your breach of any applicable laws.  

9. Termination

(a) We may suspend or terminate your access to the Services if you breach these Terms or engage in unlawful activity.  

(b) You may stop using our Services at any time. Termination does not affect any accrued rights or obligations under these Terms.  

10. Dispute Resolution

(a) If a dispute arises, both parties agree to make reasonable efforts to resolve it through direct communication.  

(b) If the dispute remains unresolved, the parties agree to mediation with a Queensland Law Society-accredited mediator, with costs shared equally.  

(c) If mediation is unsuccessful, disputes will be subject to the jurisdiction of Queensland courts.  

11. General  

11.1 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of rights.  

11.2 Severability

If any part of these Terms is found invalid, the remaining provisions shall remain in effect.  

11.3 Governing Law 

These Terms are governed by the laws of Queensland, Australia.
